Terms of Service

1. Acceptance of Terms

By accessing, browsing, or using the Vevos platform ("Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, you may not use our Service.

These Terms constitute a legally binding agreement between you and Vibe BPM, Inc., a Delaware corporation doing business as "Vevos AI" ("Company," "we," "us," or "our") regarding your use of the Service.

2. Description of Service

Vevos provides an AI-powered business process modeling platform that enables users to create, manage, and collaborate on business process workflows. The "Service" and "Website" include vevos.ai and all of its subdomains — including www.vevos.ai, cloud.vevos.ai, and any other subdomains of vevos.ai we may operate. Our Service includes:

• Business Process Model and Notation (BPMN) diagram creation and editing
• Real-time collaborative editing capabilities
• AI-powered process analysis and optimization suggestions
• Documentation generation and management
• Process sharing and publication features
• Analytics and reporting functionality

3. User Account and Registration

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Immediately notify us of any unauthorized use of your account
• Accept responsibility for all activities under your account

You may also register or sign in using a third-party identity provider such as Google, Microsoft, LinkedIn, or GitHub. If you do, you are responsible for the security of that third-party account, and its provider's own terms and privacy policy apply to your use of it.

You must be at least 18 years old to create an account. By creating an account, you represent that you meet this age requirement.

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable laws, regulations, or third-party rights
• Upload, transmit, or distribute any harmful, offensive, or illegal content
• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with or disrupt the Service or servers connected to the Service
• Use automated systems to access the Service without our express written permission
• Reverse engineer, decompile, or attempt to extract source code from the Service
• Use the Service to compete with us or develop competing products

5. Intellectual Property Rights

The Service, including all content, features, and functionality, is owned by Vibe BPM, Inc. and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes.

You retain ownership of the content you create using the Service ("User Content"). By using the Service, you grant us a non-exclusive, worldwide, royalty-free license to use, modify, and display your User Content solely to provide the Service to you.

6. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. That single Privacy Policy governs vevos.ai and all of its subdomains (including www.vevos.ai and cloud.vevos.ai), and the cookie-consent choices you make under it apply across all vevos.ai sites.

We implement appropriate security measures to protect your data, but no system is completely secure. You acknowledge that you use the Service at your own risk.

7. Subscription and Payment Terms

Certain features of the Service require paid subscriptions. By subscribing to a paid plan:

• You agree to pay all applicable fees as described on our pricing page
• Payments are processed securely through third-party payment processors
• Subscriptions automatically renew unless cancelled before the renewal date
• All fees are non-refundable except as required by law
• We may change pricing with 30 days' advance notice

8. Service Availability and Modifications

We strive to maintain high service availability but cannot guarantee uninterrupted access. We reserve the right to:

• Modify, suspend, or discontinue the Service with reasonable notice
• Perform scheduled maintenance and updates
• Implement changes to improve security or functionality
• Restrict access during emergencies or technical issues

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIBE BPM, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.

Our total liability for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Vibe BPM, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your access immediately for violations of these Terms. Upon termination:

• Your right to use the Service ceases immediately
• We may delete your account and User Content after a reasonable period
• You remain liable for any outstanding obligations
• Sections that should survive termination will continue to apply

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through:

• Good faith negotiation between the parties
• Binding arbitration if negotiation fails
• Courts of competent jurisdiction in Delaware, USA for injunctive relief

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or prominent notice on the Service. Your continued use of the Service after such notice constitutes acceptance of the updated Terms.
